You're right. If you rename a company it is the same company. You cant transfer assets from the one company to the same company. It would have a different name than before but it would be the same entity.
You start up a new company and transfer employees and assets it will be a different company. The new company would certainly not be the same company and would be a totally different entity.
The Rangers Football Club PLC ("Rangers" ) is a member of the SFA. This company ceases to exist then so does the club. The club would've still won those titles but a new football club could not lay claim to them.

Thats a totally different situation. Everything is different bar the heart. But it is true that people who have transplants have said that they have experienced personality changes or experience memories of the person they got the heart from.
But its a different analogy as the difference is great. For Rangers, it would be the same fans, the same colours, the same staff and probably the same home.

No, it is a new company, this is where the NewCo part of it comes from. What you have done is transfer the existing 'business' to a new company.
The complexity of what you propose to do here is to rename your business, which devalues the good will as the association is lost.
If Rangers do an asset transfer of the club to a new corporate shell, the name is retained and so is the history.

You're right. If you rename a company it is the same company. You cant transfer assets from the one company to the same company. It would have a different name than before but it would be the same entity.
